Partner Programme Terms
These Partner Programme Terms ("Partner Terms") govern the Tela partner programme (the "Programme"), operated by Adquantiv Pte. Ltd. ("Tela", "we", "us"). They supplement our Terms & Conditions, Privacy Policy and Community Standards, which also apply to you. By applying to the Programme, or by sharing your partner link or code after approval, you (the "Partner") agree to these Partner Terms.
1. Eligibility and approval
- You must be at least 18, hold a Tela account in good standing, and verify your identity with Singpass.
- You join by applying at tela.sg/partners/apply. We review every application and may accept or decline it at our discretion, without giving reasons.
- On approval you get a partner code (your chosen handle in capitals, for example SARAH), a short link (tela.sg/r/SARAH) and a partner dashboard. Your code is personal to you and may not be transferred or sold.
- You take part as an independent contractor. Nothing in these Partner Terms makes you an employee, agent or representative of Tela, and you must not present yourself as one.
2. How rewards work
You earn a cash reward (a "Bounty") when a person you referred (a "Referred User") is activated. All of the following must be true:
- New users only. The Referred User created their Tela account through your link, your page or your code, and was new to Tela at that moment: a recently created account with no completed order as a buyer or seller. Existing users who sign in through your link do not count.
- A completed order. The Referred User completes an order as a buyer or a seller that meets the minimum order value shown on the programme page, within the activation window after they were referred. An order is completed when it has been paid, delivered and released from escrow to the seller. Cancelled, refunded and disputed orders do not count.
- The hold period. Each Bounty is held for a period after the order completes (currently 14 days) to allow for late disputes and refunds. It is then approved and credited to your Tela wallet.
- One of each per person. A Referred User can earn you at most one buyer Bounty and one seller Bounty, ever.
- An active partnership. No Bounty accrues while your partnership is paused, suspended or ended.
The Bounty amount is the rate that applies to you when the Bounty accrues, as shown on the programme page or in your dashboard, plus any campaign bonus running at that time. We decide which partner a Referred User is attributed to, based on the first valid code or link recorded when their account is created, and our records are final save for obvious error.
3. Review of linked activity
A Bounty is not paid automatically, and is held for manual review, when the order looks connected to you rather than to a genuine new customer. This includes, for example:
- you are the buyer or the seller on the order (no Bounty is payable at all);
- the buyer and the seller on the same order were both referred by you;
- the buyer, the seller or you share signals that suggest linked accounts, such as a delivery address, payment card, payout bank account or device.
We may ask you for information to complete a review. If we are not satisfied that the activity was genuine and in good faith, the Bounty is not payable.
4. Payouts
- Approved Bounties are credited to your Tela wallet balance, in Singapore dollars.
- You withdraw your wallet balance to a Singapore bank account through the Tela app, using the same payout flow as Tela sellers. Payouts are processed by our payment provider, Stripe, which will verify your identity and bank details at your first withdrawal. Withdrawals are subject to the payout terms in our Terms & Conditions.
- Bounties are not paid in any other form, and pending Bounties have no cash value until they are approved.
5. Disclosure: label every post
Content that carries your link, code or page earns you a reward, so it is advertising. You must follow the Singapore Code of Advertising Practice and the ASAS Guidelines on Interactive Marketing Communication & Social Media issued by the Advertising Standards Authority of Singapore, and any other law or platform rule that applies. In particular you must:
- label it clearly and prominently as sponsored, for example #ador "Paid partnership with Tela", at the start of the caption or on screen, where a viewer sees it without tapping "more" and not buried in a block of hashtags;
- use the platform's own paid-partnership label where one is available;
- only make claims about Tela that are true and that you can back up, and give your honest opinion;
- follow any reasonable request from us to correct, label or remove content.
We may review content that promotes Tela, and we treat a missing or hidden label as a breach.
6. Prohibited practices
You must not, and must not let anyone else on your behalf:
- bid on Tela brand terms in search or social advertising, including "tela", "tela.sg", "tela app" and misspellings, or use them in ad copy, domain names or account names;
- post your code or link on coupon, voucher, deal or cashback sites, unless we have agreed in writing;
- send spam or unsolicited messages, including bulk or automated DMs, comments, emails or messages to strangers;
- write or arrange fake, paid or incentivised reviews, ratings or testimonials of Tela or of Tela listings;
- create fake urgency or scarcity, such as countdown timers, false deadlines or "only today" claims;
- refer yourself or accounts you control, create accounts for other people, or use duplicate, fake or automated accounts;
- offer anyone money, goods or other rewards to sign up, install the app or place an order through your code (incentivised sign-ups);
- make misleading claims, for example about prices, discounts, earnings, Buyer Protection, or your relationship with Tela;
- collect, store or use personal data of people you refer, beyond what they choose to share with you directly.
7. Good faith
The Programme rewards genuine introductions of new people to Tela. Any activity that complies with the letter of these Partner Terms but is designed to earn Bounties without bringing real new buyers or sellers is a breach. We decide in good faith, and may withhold Bounties for activity that is not in good faith.
8. Reversal and clawback
- A pending Bounty is reversed if the qualifying order is refunded, disputed or cancelled, or if review shows it does not qualify.
- We may reverse an approved Bounty, and deduct it from your wallet balance or set it off against future Bounties, where it was earned through fraud, a breach of these Partner Terms, or an error on our side.
9. Suspension and termination
- You may leave the Programme at any time by emailing us.
- We may pause, suspend or end your partnership at any time, with immediate effect for a breach, suspected fraud or conduct that could harm Tela or its users, and otherwise on reasonable notice.
- When a partnership ends, your code stops working for new sign-ups. Approved Bounties stay in your wallet and remain withdrawable, except where the partnership ended for fraud or a material breach, in which case pending Bounties are forfeited and clause 8 applies.
10. Your page and content
A custom partner page, its text and photo are reviewed by us before they go live, and we may decline or remove them. You confirm you own or have permission to use everything you submit, and you give us a non-exclusive, royalty-free licence to display it on Tela and to promote the Programme while you are a partner. You may use the Tela name and logo only as we provide them, and only to promote Tela under these Partner Terms.
11. Data protection
We handle personal data under the Personal Data Protection Act 2012 (PDPA) and our Privacy Policy. To protect Referred Users, your dashboard shows aggregate counts (clicks, sign-ups, activations) and the kind, amount, status and date of each Bounty only. We do not tell you who signed up or ordered through you. We use your application and partnership details to run the Programme, pay you, prevent fraud and meet our legal obligations.
12. Tax
Bounties are income to you. You are responsible for declaring them and paying any income tax due to the Inland Revenue Authority of Singapore (IRAS), and for any GST if you are GST-registered. Where the law requires it, Tela may report payments made to you, with the identification details needed for that report, to IRAS. We may ask you for those details before paying you.
13. Changes to the Programme and these terms
We may change the Programme, the Bounty amounts or these Partner Terms, or close the Programme. We will give you reasonable notice of a change that materially affects you, by email or in your dashboard, and the version in force is the one on this page. A change to Bounty amounts applies to Bounties that accrue after it takes effect. If you keep sharing your link or code after a change takes effect, you accept it.
14. General
Our liability to you under the Programme is limited as set out in our Terms & Conditions. These Partner Terms are governed by the laws of Singapore, and the Singapore courts have jurisdiction. If they conflict with the Terms & Conditions on the Programme, these Partner Terms prevail. Questions? Email hello@tela.sg.
